  1. 01

Pick a name and check it

The name must include "Limited Liability Company", "LLC", "L.L.C.", "Limited Company", "LC", "L.C." or a listed abbreviation, and must be available on the Wyoming record.

  2. 02

    Appoint a Wyoming registered agent

A Wyoming resident or a business authorized in Wyoming, with a physical Wyoming address. A drop box is not accepted. The agent signs a consent to appointment that goes in with your articles.

  3. 03

    File the Articles of Organization

Online through WyoBiz or by mail, for $100. The articles list the name, the registered agent, the company's mailing and principal office addresses and an email address, and are signed by an organizer.

  4. 04

    Name a communications contact

Wyoming requires every entity to give its registered agent the name, business address and phone number of a real person who serves as its communications contact (W.S. 17-28-104). The agent keeps it on file.

  5. 05

Get an EIN and register where you operate

Sign an operating agreement, get your free EIN from the IRS, and register the LLC as a foreign company in any other state where it does business.

Privacy

Is a Wyoming LLC anonymous?

Private on the state record, with one catch

On the public filing, yes. Wyoming's Articles of Organization ask for the registered agent, the company's mailing and principal office addresses, and the organizer's signature and printed name. There is no line for members or managers.

The catch is the communications contact. Wyoming law requires the company to give its registered agent the name and contact details of a real person at the company, and the agent must produce it on request (W.S. 17-28-104). It is not on the public filing, but it is not a secret from the state either. The organizer's name is on the articles, so founders who want privacy let their agent or filing service act as organizer.

Federal reporting is not the issue it was: FinCEN's final rule of August 2026 removed beneficial ownership reporting for US companies and US persons. Read what changed in Anonymous LLC in 2026.

Timing

Processing times and expedite options

Online filings through WyoBiz are active as soon as they are filed. Paper filings are reviewed in the order received, up to 15 business days.

The Wyoming fee schedule effective July 1, 2026 also lists expedited filing review: $700 for next business day and $1,400 for same business day.

Names

Wyoming LLC name rules

  • Must include "Limited Liability Company", "LLC", "L.L.C.", "Limited Company", "LC", "L.C.", "Ltd. Liability Company", "Ltd. Liability Co." or "Limited Liability Co." (W.S. 17-29-108).
  • Must be distinguishable from names already on the Wyoming record.

Registered agent

Wyoming registered agent rules

  • Every Wyoming LLC needs a registered agent: a Wyoming resident or a business authorized in Wyoming.
  • The agent needs a physical Wyoming address. A drop box is not accepted, and a P.O. box only counts in addition to a physical address.
  • The agent signs a consent to appointment and keeps your communications contact on file (W.S. 17-28-104).

Ours is $95 per entity, per state, per year.

Is it right for you

Why founders pick Wyoming, and who should not

Why founders pick Wyoming

  • No corporate or personal state income tax, according to the Wyoming Business Council.
  • Low upkeep: the annual report license tax starts at $60.
  • No member or manager names on the articles.
  • Charging order protection. Wyoming's LLC Act makes a charging order the exclusive remedy for a member's personal judgment creditor, including against a single member LLC (W.S. 17-29-503). It protects the company from a member's personal debts. It does not protect against the company's own debts or against fraud.
  • Online filings are active immediately.

Who should not pick Wyoming

  • A business that operates in Illinois or another state. You still register and file there, so Wyoming's low fees get stacked on top of your home state's.
  • A startup raising venture capital. Investors usually ask for a Delaware C corporation.
  • Anyone who expects to hide ownership from the state or a court. The communications contact and your bank's checks still tie the company to you.

Corporations

Forming a Wyoming corporation instead

A Wyoming profit corporation files Articles of Incorporation for $100 and pays the same annual report license tax as an LLC: $60, or two tenths of a mill on each dollar of Wyoming assets, whichever is greater.

We file corporations too. Pro and Premium include bylaws and initial corporate documents.

Taxes and publication

Wyoming income tax and publication

The Wyoming Business Council states that Wyoming has no corporate or personal state income tax.

Publication: Wyoming has no newspaper publication requirement for LLCs.

Operating in Illinois

Foreign qualification: register where you operate

Forming in Wyoming does not take your company out of Illinois. If your Wyoming company has an office, staff or regular operations in Illinois, it generally has to register in Illinois as a foreign company before it does business here. For an LLC that is the Application for Admission to Transact Business, and the Illinois fee is $150, the same as forming a new Illinois LLC.

After that you pay both states every year: Wyoming's own annual costs plus the Illinois annual report, $75 for an LLC. You also need an Illinois registered agent with a street address here. That is the double cost most Illinois founders do not see coming, and it is why a business that only operates in Illinois is usually better off with an Illinois LLC.

If you do form in Wyoming and operate here, we can be your Illinois registered agent from our staffed office in Chicago.
