Agreements

Business Mailbox Agreement

The service agreement for receiving, scanning, forwarding and picking up business mail.

This Business Mailbox Agreement governs business mailbox and mail receiving services provided by Lobi Space at 1655 S Blue Island Ave, Chicago, Illinois. It incorporates the Website Terms & Conditions, Privacy Policy, Cookie Policy and Acceptable Use Policy.

Plans and service

Business Mailbox Pro is $30 per month or $300 billed annually. Business Mailbox Premium is $50 per month or $540 billed annually. Setup fees, promotions and included volumes are shown at checkout and in the applicable plan details.

Mailbox services include mail receipt, digital scanning, forwarding on request, and in-person pickup during published business hours. Postage, carrier charges and usage fees are billed when incurred.

Identification and authorized users

Each person or entity receiving mail must complete USPS Form 1583 and provide the required identification. Customers are responsible for the actions of anyone they authorize to access their mailbox.

Storage, forwarding and cancellation

Mail and packages are stored for the period stated in the plan or current service schedule. Forwarding is available for the forwarding fee plus postage. On cancellation, unclaimed items may be returned, securely destroyed or handled as described in the complete mailbox terms.

Acceptable use and liability

Mailbox services may not be used for unlawful activity, fraud, prohibited materials, or conduct that threatens staff or members. Lobi Space is not responsible for carrier delay, loss or damage except as required by law; liability is limited as stated in the complete agreement.

Virtual Office Agreement

The service agreement for a Chicago business address, signed agreement and member access.

This Virtual Office Agreement governs the Virtual Office services provided by Lobi Space at 1655 S Blue Island Ave, Chicago, Illinois. It incorporates the Business Mailbox Agreement and the other documents in this Legal Center.

Plans, term and billing

Virtual Office Pro is $75 per month or $800 billed annually. Virtual Office Premium is $150 per month or $1,600 billed annually. Monthly plans have a six-month minimum term and renew automatically; annual plans are billed once for twelve months. Setup fees and current promotions are shown at checkout.

What the service provides

The service provides a real Chicago business address, a signed agreement documenting your right to use the address, mail services, and the plan benefits listed at the time of purchase. Any plan-specific onboarding details, assigned suite information and final compliance configuration are completed after approval through ReMe.

A Virtual Office is not a private office, registered agent appointment, or guarantee that a government agency, bank, directory or platform will accept an address for a particular purpose.

Compliance and member responsibilities

You must provide accurate business information, complete USPS Form 1583 where mail service applies, and use the address only for lawful business purposes. You remain responsible for your filings, registrations, licenses and representations to third parties.

Cancellation and liability

Cancellation, termination, mail handling and liability follow this agreement and the incorporated Business Mailbox terms. Lobi Space may suspend or terminate service for non-payment, misuse, inaccurate information, fraud or conduct that creates risk to the community.

Office Space Agreement

The agreement for private offices and Office Access at 1655 S Blue Island Ave.

This Office Space Agreement governs private office suites and Office Access at Lobi Space, 1655 S Blue Island Ave, Chicago, Illinois. A signed written agreement controls the specific suite, term, pricing and access granted to each tenant.

Suites and pricing

Private office suites accommodate one to four people and start at $595 per month, depending on size and location. Rent includes the amenities described in the signed agreement.

Office Access is furnished month-to-month office use starting at $995 per month, plus applicable City of Chicago tax. It includes a one-time $95 setup fee and does not include mail service or use of the Lobi Space address unless a separate Business Mailbox or Virtual Office plan is active.

Term, access and use

Private office suites are offered under a written agreement with the term and notice requirements stated in that agreement. Office Access is available on business days from 9:00 AM to 5:00 PM and does not include after-hours, weekend or holiday entry.

Access credentials are personal and may not be transferred. Members are responsible for their guests, their property and any damage beyond ordinary wear. Subletting, unauthorized alterations and leaving property on the premises without written approval are not permitted.

Included amenities and move-out

Amenities, meeting room access, parking, printing and cleaning are subject to the plan and signed agreement. Unused included hours do not roll over unless the written agreement says otherwise.

Return all access credentials and remove personal property at move-out. Mail service ends with the agreement unless you separately maintain a Business Mailbox or Virtual Office plan.

Liability and governing law

Members and guests use the space, equipment, parking and common areas at their own risk. Members should carry their own general liability and property insurance. Lobi Space is not liable for indirect or consequential losses or loss, theft or damage to member property except as required by law.

These terms are governed by the laws of the State of Illinois, with venue in Cook County.

Website Terms & Conditions

These terms and conditions (“Agreement”) set forth the general terms and conditions of your use of the lobispace.com website (“Website” or “Service”) and any of its related products and services (collectively, “Services”). This Agreement is legally binding between you (“User”, “you” or “your”) and Nela Holdings & Investments LLC (doing business as “Lobi Space”), and/or its affiliate companies including, but not limited to, Lobi Partners, LLC located at 1655 S Blue Island Ave. (City of Chicago Business License #3077952, Illinois registered agent services provided by Lobi Partners LLC, CMRA registered under USPS Form 1583) (collectively referred to as “Lobi Space”, “we”, “us” or “our”). If you are entering into this agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to this agreement, in which case the terms “User”, “you” or “your” shall refer to such entity. If you do not have such authority, or if you do not agree with the terms of this agreement, you must not accept this agreement and may not access and use the Website and Services. By accessing and using the Website and Services, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. You acknowledge that this Agreement is a contract between you and Lobi Space, even though it is electronic and is not physically signed by you, and it governs your use of the Website and Services.

Accounts and membership

You must be at least 18 years of age to use the Website and Services. By using the Website and Services and by agreeing to this Agreement you warrant and represent that you are at least 18 years of age. If you create an account on the Website, you are responsible for maintaining the security of your account and you are fully responsible for all activities that occur under the account and any other actions taken in connection with it. We may, but have no obligation to, monitor and review new accounts before you may sign in and start using the Services. Providing false contact information of any kind may result in the termination of your account. You must immediately notify us of any unauthorized uses of your account or any other breaches of security. We will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions. We may suspend, disable, or delete your account (or any part thereof) if we determine that you have violated any provision of this Agreement or that your conduct or content would tend to damage our reputation and goodwill. If we delete your account for the foregoing reasons, you may not re-register for our Services. We may block your email address and Internet protocol address to prevent further registration.

User content

We do not own any data, information or material (collectively, “Content”) that you submit on the Website in the course of using the Service. You shall have sole responsibility for the accuracy, quality, integrity, legality, reliability, appropriateness, and intellectual property ownership or right to use of all submitted Content. We may monitor and review the Content on the Website submitted or created using our Services by you. You grant us permission to access, copy, distribute, store, transmit, reformat, display and perform the Content of your user

account solely as required for the purpose of providing the Services to you. Without limiting any of those representations or warranties, we have the right, though not the obligation, to, in our own sole discretion, refuse or remove any Content that, in our reasonable opinion, violates any of our policies or is in any way harmful or objectionable. You also grant us the license to use, reproduce, adapt, modify, publish or distribute the Content created by you or stored in your user account for commercial, marketing or any similar purpose.

Billing and payments

You shall pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. Where Services are offered on a free trial basis, payment may be required after the free trial period ends, and not when you enter your billing details (which may be required prior to the commencement of the free trial period). If auto-renewal is enabled for the Services you have subscribed for, you will be charged automatically in accordance with the term you selected. If, in our judgment, your purchase constitutes a high-risk transaction, we will require you to provide us with a copy of your valid government-issued photo identification, and possibly a copy of a recent bank statement for the credit or debit card used for the purchase. We reserve the right to change products and product pricing at any time. We also reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made.

Accuracy of information

Occasionally there may be information on the Website that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, availability, promotions and offers. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information on the Website or Services is inaccurate at any time without prior notice (including after you have submitted your order). We undertake no obligation to update, amend or clarify information on the Website including, without limitation, pricing information, except as required by law. No specified update or refresh date applied on the Website should be taken to indicate that all information on the Website or Services has been modified or updated.

Third party services

If you decide to enable, access or use third party services, be advised that your access and use of such other services are governed solely by the terms and conditions of such other services, and we do not endorse, are not responsible or liable for, and make no representations as to any aspect of such other services, including, without limitation, their content or the manner in which they handle data (including your data) or any interaction between you and the provider of such other services. You irrevocably waive any claim against Lobi Space with respect to

such other services. Lobi Space is not liable for any damage or loss caused or alleged to be caused by or in connection with your enablement, access or use of any such other services, or your reliance on the privacy practices, data security processes or other policies of such other services. You may be required to register for or log into such other services on their respective platforms. By enabling any other services, you are expressly permitting Lobi Space to disclose your data as necessary to facilitate the use or enablement of such other service.

Backups

We perform regular backups of the Website and its Content and will do our best to ensure completeness and accuracy of these backups. In the event of the hardware failure or data loss we will restore backups automatically to minimize the impact and downtime.

Advertisements

During your use of the Website and Services, you may enter into correspondence with or participate in promotions of advertisers or sponsors showing their goods or services through the Website and Services. Any such activity, and any terms, conditions, warranties or representations associated with such activity, is solely between you and the applicable third party. We shall have no liability, obligation or responsibility for any such correspondence, purchase or promotion between you and any such third party.

Links to other resources

Although the Website and Services may link to other resources (such as websites, mobile applications, etc.), we are not, directly or indirectly, implying any approval, association, sponsorship, endorsement, or affiliation with any linked resource, unless specifically stated herein. Some of the links on the Website may be “affiliate links”. This means if you click on the link and purchase an item, Lobi Space will receive an affiliate commission. We are not responsible for examining or evaluating, and we do not warrant the offerings of, any businesses or individuals or the content of their resources. We do not assume any responsibility or liability for the actions, products, services, and content of any other third parties. You should carefully review the legal statements and other conditions of use of any resource which you access through a link on the Website. Your linking to any other off-site resources is at your own risk.

Prohibited uses

In addition to other terms as set forth in the Agreement, you are prohibited from using the Website and Services or Content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion,

ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Website and Services, third party products and services, or the Internet; (h) to spam, phish, pharm, pretext, spider, crawl, or scrape; (i) for any obscene or immoral purpose; or (j) to interfere with or circumvent the security features of the Website and Services, third party products and services, or the Internet. We reserve the right to terminate your use of the Website and Services for violating any of the prohibited uses.

Intellectual property rights

“Intellectual Property Rights” means all present and future rights conferred by statute, common law or equity in or in relation to any copyright and related rights, trademarks, designs, patents, inventions, goodwill and the right to sue for passing off, rights to inventions, rights to use, and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, rights to claim priority from, such rights and all similar or equivalent rights or forms of protection and any other results of intellectual activity which subsist or will subsist now or in the future in any part of the world. This Agreement does not transfer to you any intellectual property owned by Lobi Space or third parties, and all rights, titles, and interests in and to such property will remain (as between the parties) solely with Lobi Space. All trademarks, service marks, graphics and logos used in connection with the Website and Services, are trademarks or registered trademarks of Lobi Space or its licensors. Other trademarks, service marks, graphics and logos used in connection with the Website and Services may be the trademarks of other third parties. Your use of the Website and Services grants you no right or license to reproduce or otherwise use any of Lobi Space or third party trademarks.

Disclaimer of warranty

You agree that such Service is provided on an “as is” and “as available” basis and that your use of the Website and Services is solely at your own risk. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement. We make no warranty that the Services will meet your requirements, or that the Service will be uninterrupted, timely, secure, or error-free; nor do we make any warranty as to the results that may be obtained from the use of the Service or as to the accuracy or reliability of any information obtained through the Service or that defects in the Service will be corrected. You understand and agree that any material and/or data downloaded or otherwise obtained through the use of Service is done at your own discretion and risk and that you will be solely responsible for any damage or loss of data that results from the download of such material and/or data. We make no warranty regarding any goods or services purchased or obtained through the Service or any transactions entered into through the Service unless stated otherwise. No advice or information, whether oral or written, obtained by you from us or through the Service shall create any warranty not expressly made herein.

Limitation of liability

To the fullest extent permitted by applicable law, in no event will Lobi Space, its affiliates, directors, officers, employees, agents, suppliers or licensors be liable to any person for any indirect, incidental, special, punitive, cover or consequential damages (including, without limitation, damages for lost profits, revenue, sales, goodwill, use of content, impact on business, business interruption, loss of anticipated savings, loss of business opportunity) however caused, under any theory of liability, including, without limitation, contract, tort, warranty, breach of statutory duty, negligence or otherwise, even if the liable party has been advised as to the possibility of such damages or could have foreseen such damages. To the maximum extent permitted by applicable law, the aggregate liability of Lobi Space and its affiliates, officers, employees, agents, suppliers and licensors relating to the services will be limited to an amount greater of one dollar or any amounts actually paid in cash by you to Lobi Space for the prior one month period prior to the first event or occurrence giving rise to such liability. The limitations and exclusions also apply if this remedy does not fully compensate you for any losses or fails of its essential purpose.

Indemnification

You agree to indemnify and hold Lobi Space and its affiliates, directors, officers, employees, agents, suppliers and licensors harmless from and against any liabilities, losses, damages or costs, including reasonable attorneys’ fees, incurred in connection with or arising from any third party allegations, claims, actions, disputes, or demands asserted against any of them as a result of or relating to your Content, your use of the Website and Services or any willful misconduct on your part.

Severability

All rights and restrictions contained in this Agreement may be exercised and shall be applicable and binding only to the extent that they do not violate any applicable laws and are intended to be limited to the extent necessary so that they will not render this Agreement illegal, invalid or unenforceable. If any provision or portion of any provision of this Agreement shall be held to be illegal, invalid or unenforceable by a court of competent jurisdiction, it is the intention of the parties that the remaining provisions or portions thereof shall constitute their agreement with respect to the subject matter hereof, and all such remaining provisions or portions thereof shall remain in full force and effect.

Dispute resolution

The formation, interpretation, and performance of this Agreement and any disputes arising out of it shall be governed by the substantive and procedural laws of Illinois, United States without regard to its rules on conflicts or choice of law and, to the extent applicable, the laws of United States. The exclusive jurisdiction and venue for actions related to the subject matter hereof shall be the courts located in Illinois, United States, and you hereby submit to the personal jurisdiction of such courts. You hereby waive any right to a jury trial in any proceeding

arising out of or related to this Agreement. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

Assignment

You may not assign, resell, sub-license or otherwise transfer or delegate any of your rights or obligations hereunder, in whole or in part, without our prior written consent, which consent shall be at our own sole discretion and without obligation; any such assignment or transfer shall be null and void. We are free to assign any of its rights or obligations hereunder, in whole or in part, to any third party as part of the sale of all or substantially all of its assets or stock or as part of a merger.

Changes and amendments

We reserve the right to modify this Agreement or its terms related to the Website and Services at any time at our discretion. When we do, we will revise the updated date at the bottom of this page, send you an email to notify you. We may also provide notice to you in other ways at our discretion, such as through the contact information you have provided.

An updated version of this Agreement will be effective immediately upon the posting of the revised Agreement unless otherwise specified. Your continued use of the Website and Services after the effective date of the revised Agreement (or such other act specified at that time) will constitute your consent to those changes.

Acceptance of these terms

You acknowledge that you have read this Agreement and agree to all its terms and conditions. By accessing and using the Website and Services you agree to be bound by this Agreement. If you do not agree to abide by the terms of this Agreement, you are not authorized to access or use the Website and Services.

Membership Agreement

The agreement between you and Lobi Space as a member of our community, app and workspace.

Our free and inclusive community operates as an online network of internet users and virtual members.

This Membership Agreement (the “Agreement”) is effective on or before the official start date of your business membership by and between Nela Holdings & Investments LLC (doing business as “Lobi Space”), and/or its affiliate companies including, but not limited to, Lobi Partners, LLC located at 1655 S Blue Island Ave., Chicago, Illinois 60608 (City of Chicago Business License #3077952, Illinois registered agent services provided by Lobi Partners LLC, CMRA registered under USPS Form 1583) (hereinafter referred to as the “Community”, “Lobi Space”, “we”, “us”, or “our”), accessed via www.lobispace.com, and all current and future members of Lobi Space (hereinafter referred to as the "Member", "you", or "your").

By accessing, browsing, or using the www.lobispace.com website, or by selecting "I Accept" during membership registration, you represent that you have read, understood, and agree to be bound by the terms and conditions of this Agreement.

Nature of the Service

The Community App is a social business network facilitating the exchange of personal and professional information between people and organizations. This socialization includes reading the profile pages of other members and interacting with them.

The Community App provides its members access to benefits including, but not limited to:

  • Creation of a Business Profile Page
  • Community Social App
  • Access to the Community Feed
  • Ability to interact with Community Members
  • Access to the Lobi Marketplace
  • Ability to pay for products and services
  • Schedule bookings
  • Receive perks and discounts from local businesses

User Registration and Information

Members shall provide accurate and complete information requested in the User Registration form on the site and are required to promptly update this information as necessary. Members must select a username and password during the registration process. You are entirely responsible for:

  • All activities and use of the site occurring under your username and password.
  • Maintaining the strict confidentiality of your username and password.

Content

"Content" includes messages and other materials posted to forums, groups, or other locations on the site by Community members. By posting, you grant the Community a nonexclusive right to post, display, copy, and modify the Content in connection with the site's operation and the Community's business. Furthermore, you grant the Community the nonexclusive right to post, display, copy, and sell the Content within the limitations set by you during the online publishing process. When you include personal data in the Content, you authorize the Community to disclose it in accordance with our Privacy Policy.

Release

In the event of a dispute with one or more other Members, you hereby release the Community (and its officers, directors, agents, subsidiaries, joint ventures, and employees) from any claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

Privacy

The Community will not sell or rent a Member's personal information to third parties without the Member's explicit consent. The Community stores and processes Member information on computers located in the United States that are protected by physical and technological security devices. However, the Community is permitted to access and modify Member information as necessary to provide the Services.

Indemnity

You agree to indemnify and hold the Community (and its officers, directors, agents, subsidiaries, joint ventures, and employees) harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of this Agreement, or your violation of any law or the rights of a third party.

No Agency

No agency, partnership, joint venture, employee-employer, or franchiser-franchisee relationship is intended or created by this Agreement.

Terminating Membership

You may choose to retire or delete published content from the Community site, after which it will no longer be visible to other visitors. Terms regarding the status of uploaded content remain applicable even after you choose to terminate your membership. Content posted to the site, other than specifically published proprietary content, may not necessarily be deleted or retired as a result of membership termination.

Governing Law

This Agreement shall be construed under and governed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles.

Limitation of Liability

Members shall not hold the Community responsible for the content, actions, or inactions of other user Members.

Privacy Policy

What personal information we collect, why we collect it, and the choices you have.

We respect your privacy and are committed to protecting it through our compliance with this privacy policy (“Policy”). This Policy describes the types of information we may collect from you or that you may provide (“Personal Information”) on the lobispace.com website (“Website” or “Service”) and any of its related products and services (collectively, “Services”), and our practices for collecting, using, maintaining, protecting, and disclosing that Personal Information. It also describes the choices available to you regarding our use of your Personal Information and how you can access and update it.

Automatic collection of information

Our top priority is customer data security and, as such, we exercise the no logs policy. We may process only minimal user data, only as much as it is absolutely necessary to maintain the Website and Services. Information collected automatically is used only to identify potential cases of abuse and establish statistical information regarding the usage and traffic of the Website and Services. This statistical information is not otherwise aggregated in such a way that would identify any particular user of the system.

Collection of personal information

You can access and use the Website and Services without telling us who you are or revealing any information by which someone could identify you as a specific, identifiable individual. If, however, you wish to use some of the features offered on the Website, you may be asked to provide certain Personal Information (for example, your name and e-mail address).

We receive and store any information you knowingly provide to us when you create an account, publish content, make a purchase, or fill any online forms on the Website. When required, this information may include the following:

Some of the information we collect is directly from you via the Website and Services. However, we may also collect Personal Information about you from other sources such as public databases and our joint marketing partners.

You can choose not to provide us with your Personal Information, but then you may not be able to take advantage of some of the features on the Website. Users who are uncertain about what information is mandatory are welcome to contact us.

  • Account details (such as user name, unique user ID, password, etc)
  • Contact information (such as email address, phone number, etc)
  • Basic personal information (such as name, country of residence, etc)
  • Payment information (such as credit card details, bank details, etc)
  • Geolocation data of your device (such as latitude and longitude)
  • Any other materials you willingly submit to us (such as articles, images, feedback, etc)

Privacy of children

We do not knowingly collect any Personal Information from children under the age of 18. If you are under the age of 18, please do not submit any Personal Information through the Website and Services. If you have reason to believe that a child under the age of 18 has provided Personal Information to us through the Website and Services, please contact us to request that we delete that child’s Personal Information from our Services.

We encourage parents and legal guardians to monitor their children’s Internet usage and to help enforce this Policy by instructing their children never to provide Personal Information through the Website and Services without their permission. We also ask that all parents and legal guardians overseeing the care of children take the necessary precautions to ensure that their children are instructed to never give out Personal Information when online without their permission.

Use and processing of collected information

We act as a data controller and a data processor when handling Personal Information, unless we have entered into a data processing agreement with you in which case you would be the data controller and we would be the data processor.
