How to start a New Mexico LLC

New Mexico is the quiet privacy state: short articles, no owner names and no LLC annual report. Here is the process, what it costs to keep, and why most owners still form at home.

Step by step

How to start an LLC in New Mexico in 5 steps

Five steps from name to EIN. We handle the filing steps for you at your direction, and you keep the decisions.

  1. 01

Pick a name and check it

The name must meet New Mexico's LLC naming rules (NMSA 1978 § 53-19-3) and be available on the Secretary of State's records.

  2. 02

Appoint a New Mexico registered agent

The articles give the street address of the registered office and the name of the registered agent at that address.

  3. 03

File the Articles of Organization online

All business filings with the Secretary of State are online. The articles state the name, registered office and agent, the principal place of business if different, and whether the LLC is manager managed.

  4. 04

Sign an operating agreement and get an EIN

The operating agreement stays private. The IRS issues your EIN for free.

  5. 05

    Register where you operate

New Mexico has no LLC annual report, but if the LLC does business in another state, it registers and reports there.

Privacy

Is a New Mexico LLC anonymous?

Private on the state record

On the state record, yes. The articles must state the LLC's name, its registered office and agent, its principal place of business if different, and whether a manager runs it (NMSA 1978 § 53-19-8). No member or manager names are required.

New Mexico's LLC Act has no annual report requirement for LLCs, so no yearly filing exposes anyone later either. Your bank, the IRS and the courts can still identify the owners.

Federal reporting is not the issue it was: FinCEN's final rule of August 2026 removed beneficial ownership reporting for US companies and US persons. Read what changed in Anonymous LLC in 2026.

Timing

Processing times and expedite options

Every business filing goes through the Secretary of State's online system. The state does not publish a standard turnaround we could confirm, so we confirm timing in your quote.

Is it right for you

Why founders pick New Mexico, and who should not

Why founders pick New Mexico

  • No member or manager names on the articles.
  • No annual report for LLCs, so there is no yearly state filing to keep the LLC active.
  • A real option for a holding company or real estate LLC that does business only in New Mexico.

Who should not pick New Mexico

  • A startup raising venture capital. Investors usually ask for a Delaware C corporation.
  • A business that operates in Illinois or another state. You register there anyway, and that state's filings follow its own disclosure rules.

Corporations

Forming a New Mexico corporation instead

New Mexico corporations, and LLCs taxed as corporations, pay corporate income tax on New Mexico income and a $50 a year franchise tax, according to the New Mexico Taxation and Revenue Department.

We file corporations too. The Launch package includes bylaws for a corporation.

Taxes and publication

New Mexico income tax and publication

Companies taxed as corporations pay New Mexico corporate income tax on New Mexico income and a $50 a year franchise tax. An LLC taxed as a partnership passes its income through to its owners.

Publication: New Mexico has no newspaper publication requirement for LLCs.

Operating in Illinois

Foreign qualification: register where you operate

Forming in New Mexico does not take your company out of Illinois. If your New Mexico company has an office, staff or regular operations in Illinois, it generally has to register in Illinois as a foreign company before it does business here. For an LLC that is the Application for Admission to Transact Business, and the Illinois fee is $150, the same as forming a new Illinois LLC.

After that you pay both states every year: New Mexico's own annual costs plus the Illinois annual report, $75 for an LLC. You also need an Illinois registered agent with a street address here. That is the double cost most Illinois founders do not see coming, and it is why a business that only operates in Illinois is usually better off with an Illinois LLC.

If you do form in New Mexico and operate here, we can be your Illinois registered agent from our staffed office in Chicago.
